This course explores administrative laws and procedures necessary for business operations. Due to  their prominent roles in overseeing most private transactions from business licenses to  environmental regulations, public organizations as well as their actions and constraints as found in  the Administrative Procedure Act of 1996 shall be  the focus of study. In connection with state organizations, the judicial review of administrative  actions and remedies provided by the administrative courts shall also be discussed. Other laws  concerning the relationship between businesses and state organizations, such as public  procurement and public‐private partnership, will also be discussed.

Study of problems and issues relating to international transportation contracts by land, sea and air  including multimodal transportation as well as the rights, obligations and liabilities of all parties  concerned under relevant treaties, international rules and practices and Thai Laws.

Study of the meaning of “risks”. classification of risks, analysis and priority of risks, forms and  management of financial, marketing and legal risks, study of insurance as  a form of risk management focusing on legal rules of insurance businesses in comparison with those of foreign countries, forms of insurance especially new forms of liability insurance to respond to the  liability risks of business operators such as liability of directors and executives of various  professionals, against damage caused by unsafe products including insurance for agricultural  products and the study of life accident and health insurance as tools for business risk management.

Study of the principles and concepts encouraging the promulgation of consumer protection laws  and legal measures for consumer protection and enforcement of such measures to remedy the  consumers and procedural rules for consumer litigations and study of comparative approaches to  consumer laws of Thailand and other countries including problems relating to consumer protection.

Study and analysis of the theories and legal principles relating to  the prevention, control and management and mitigation of all forms of pollution e.g. water, air,  noise, and vibration pollution, litter, toxic waste, and harmful substances including study of the  claims of compensation for the damage caused by such pollution as well as of  the laws and principles relating to environmental audits and assessments, environmentally  protected areas and pollution control areas, promotional measures for environmental conservation  as well as the functions of government agencies and of authorities concerned with the promotion  and conservation of the environment.

This course examines the interplay between business and human rights, from both theoretical and  practical perspectives, including issues on human rights due diligence, ethical investment, and  labour conditions in global supply chains. The course provides  a study of the development of international, regional and domestic regulations, and international  standards such as the United Nations Guiding Principles on Business and Human Rights.

Study of the effectiveness of current laws on the protection of employees  e.g. the Civil and Commercial Code, labour protection laws and labour relation law with special  emphasis on the rights of employees to form a labour union, to take part in administrations, to  submit claims, to call for negotiations, to initiate strikes, to have access to medical treatments, to  be protected in case of employment termination, unemployment and retirement.
